Overlapped patch panel rust repair

We stripped the back section of the 1956 Plymouth and it was full of body fill, rust, bronzed patch panels and pinholes so we need to repair it with a patch panel. For this repair, the plan is to overlap the new panel overtop of the existing. Why?
